Acceptance of Terms

Welcome to NeauraBuild. These Terms of Service ("Terms") constitute a legally binding agreement between you and Pinnacle Infratech & Service Pvt Limited, trading as NeauraBuild ("NeauraBuild", "Company", "we", "us") governing your access to and use of the NeauraBuild platform, website, mobile applications, and all associated services (collectively, the "Platform").

By accessing or using the Platform, registering an account, placing an order, or submitting an inquiry, you agree to be bound by these Terms. If you are accessing the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not use the Platform.

Eligibility and Registration

To use the Platform, you must:

- Be at least 18 years of age
- Be legally capable of entering into a binding contract under Indian law
- Provide accurate, complete, and current information during registration
- Maintain the accuracy of your account information

Business Users (B2B/MSME)
Business users must provide valid GSTIN, PAN, and other applicable registration details. We reserve the right to verify these credentials and suspend accounts where verification fails.

Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@neaurabuild.com if you suspect unauthorised access to your account. NeauraBuild is not liable for losses resulting from unauthorised account access due to your failure to safeguard credentials.

Platform Services

NeauraBuild provides an online marketplace and procurement platform for building materials and construction products, including:

- B2B Procurement: Bulk ordering, quote management, credit facilities, and account management for businesses, contractors, and construction companies
- B2C Commerce: Retail purchase of building materials with home delivery
- IHB Services: End-to-end procurement assistance for individual home builders
- Projects & Tenders: Discovery and participation in construction projects and government tenders
- Partnerships Program: Channel partner, distributor, and reseller programs

We act as an intermediary marketplace. While we exercise due diligence in onboarding suppliers, we do not manufacture products and are not the seller of record in all transactions.

Orders, Pricing, and Payment

Pricing
All prices are displayed in Indian Rupees (INR) and are exclusive of GST unless stated otherwise. Prices are subject to change without notice and final pricing is confirmed at the time of order placement.

Order Placement
An order is deemed confirmed when you receive a written order confirmation from NeauraBuild. We reserve the right to refuse or cancel any order at our discretion, including due to pricing errors, stock unavailability, or suspicious activity.

Payment Terms
- B2C orders: Payment in full at time of order via approved payment methods
- B2B orders: Subject to credit terms agreed in the B2B agreement; default is advance payment
- Credit facility: Subject to separate credit agreement and KYC verification

Taxes
You are responsible for all applicable taxes including GST. Tax invoices will be issued in compliance with GST laws.

Delivery and Returns

Delivery
Estimated delivery timelines are provided at the time of order. Actual delivery may vary due to logistics, weather, or supply chain factors. NeauraBuild is not liable for delays beyond our reasonable control.

Inspection
You must inspect goods upon delivery. Any visible damage or shortage must be reported within 48 hours of delivery with photographic evidence.

Returns and Refunds
- Damaged or defective goods: Eligible for replacement or refund upon verification
- Change of mind: Returns accepted within 7 days for select categories, subject to restocking fees
- Custom orders: Non-returnable unless defective
- Refunds are processed within 7-10 business days to the original payment method

Intellectual Property

All content on the NeauraBuild Platform — including text, graphics, logos, images, product descriptions, software, and database compilations — is the property of NeauraBuild or its licensors and is protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal or business procurement purposes. You may not:

- Copy, reproduce, or distribute Platform content without written permission
- Use automated tools, bots, or scrapers to extract data from the Platform
- Reverse engineer or decompile any part of the Platform software
- Use our trademarks or trade dress without written authorisation

Limitation of Liability

To the maximum extent permitted by applicable Indian law:

- NeauraBuild shall not be liable for indirect, incidental, special, or consequential damages including loss of profits, data, or business opportunity
- We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses

Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to:

1. Informal Resolution: Both parties will attempt to resolve disputes amicably.
2. Arbitration: If informal resolution fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement
3. Jurisdiction: The courts of Udaipur, Rajasthan shall have exclusive jurisdiction for any disputes that proceed to litigation

For consumer disputes, users may also approach the appropriate Consumer Forum under the Consumer Protection Act, 2019.

Modifications and Termination

NeauraBuild reserves the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Platform with at least 15 days' notice. Continued use of the Platform after the effective date constitutes acceptance.

We may suspend or terminate your account without notice if:
- You breach these Terms
- We suspect fraudulent, abusive, or illegal activity
- Required to do so by law or regulatory authority

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including payment obligations, intellectual property, and dispute resolution) shall survive.
